Terms of Service
By using LinkUpp, you agree to the following terms and conditions.

These Terms of Service ("Terms") govern your access to and use of the LinkUpp platform, including all websites, mobile apps, and APIs operated by LinkUpp Ltd. ("LinkUpp", "we", "us"), a company incorporated in Ghana with its registered office in Accra. By creating an account or using LinkUpp you agree to these Terms.
1. Eligibility & Account
- You must be at least 16 years old (or the age of digital consent in your country, whichever is higher).
- You must provide accurate registration information and keep your password secure.
- You are responsible for all activity on your account; notify us immediately of unauthorised access.
- You may not transfer your account to anyone else without our written consent.
2. The Service
LinkUpp is an "everything app" for makers, doers, and SMEs. We provide a suite of modules including social posts, jobs, events, deals, invoicing (LinkInvoice), e-commerce (LinkCart), ride logistics (LinkRide), and others. Some modules are free; some require a paid subscription.
We may change, add, or remove features at any time. We will give reasonable notice of material changes that materially affect your use.
3. Subscriptions & Payments
- Subscription fees are charged in advance for the billing period (monthly or annually) in the currency you select.
- Subscriptions auto-renew unless cancelled before the end of the current period.
- You can cancel at any time; cancellation takes effect at the end of the current period β no pro-rata refunds for partial periods unless required by your local consumer-protection law.
- Free trials (where offered) convert to paid subscriptions at the end of the trial unless cancelled first.
- Payments are processed by our providers (Paystack, Flutterwave, Stripe, PayPal). They have their own terms; we are not responsible for their failures.
4. Marketplace Payments (Your Customers Paying You)
Some modules let your buyers pay you directly β LinkUpp facilitates the transaction via the payment provider you connect, but funds settle to your account, not ours. LinkUpp is not a party to those transactions, is not a merchant of record for them, and does not hold buyer funds. You are responsible for: complying with the laws of the jurisdiction you operate in; correctly describing your goods/services; refunds and chargebacks; tax. LinkUpp may charge a platform fee per transaction (clearly disclosed at the time of setup).
5. Acceptable Use
You agree NOT to:
- Use LinkUpp for unlawful, fraudulent, or deceptive purposes.
- Post or share content that infringes anyone's intellectual property, privacy, or other rights.
- Post hate speech, harassment, sexual content involving minors, or incitement to violence.
- Spam other users or scrape the platform.
- Attempt to break our security, reverse-engineer our APIs, or abuse rate limits.
- Use LinkUpp to launder money, finance terrorism, or evade sanctions.
We may suspend or terminate accounts that violate these rules, with notice where possible. For severe or repeated violations we may report to authorities.
6. Your Content
You own the content you post on LinkUpp. By posting, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, display, and transmit it solely to operate and improve the service. You can delete your content at any time; we will remove it from the live platform but may retain backup copies for a reasonable period (typically up to 90 days).
7. Intellectual Property
The LinkUpp name, logo, software, and design are owned by LinkUpp Ltd. and protected by copyright, trademark, and other laws. You may not copy or reuse them without our written permission.
8. Disclaimers & Limitation of Liability
LinkUpp is provided "as is". To the maximum extent permitted by law, we exclude all warranties of fitness for purpose, merchantability, or non-infringement. We are not liable for: lost profits, indirect or consequential losses, or third-party disputes (including disputes between buyers and sellers using our marketplace modules). Where liability cannot be excluded under your local law (e.g. statutory consumer rights), our aggregate liability is capped at the greater of (a) fees you paid us in the 12 months before the claim and (b) USD 100.
9. Termination
You can terminate by deleting your account in your account settings or via /api/user/delete_account. We can terminate or suspend for violation of these Terms or to comply with law. On termination, your access stops; clauses that should reasonably survive termination (IP, liability, governing law) survive.
10. Governing Law & Disputes
These Terms are governed by the laws of Ghana. We will try to resolve disputes informally first. If we cannot, disputes go to the courts of Accra, Ghana β UNLESS your local consumer-protection law gives you the right to sue in your country of residence (in which case that right is preserved). LEGAL REVIEW REQUIRED: confirm forum-selection enforceability per market.
11. Changes to These Terms
We may update these Terms. Material changes will be announced via email or in-app notice at least 30 days before they take effect. Continued use after the effective date means you accept the new terms.
